COSCO Corporation (Singapore) Limited (the "Company" and together with its subsidiaries, the "Group") has established a CNY2,000,000,000 Multicurrency Medium Term Note Programme (the "Programme"), under which the Company may issue notes (the "Notes") from time to time. J.P Morgan (S.E.A.) Limited has been appointed as the arranger and a dealer of the Programme. BOCI Asia Limited has been appointed as a dealer of the Programme. Under the Programme, the Company may, subject to compliance with all relevant laws, regulations and directives, from time to time issue Notes in series or tranches denominated in CNY or in other currencies and in various amounts and tenors. The Notes may bear fixed or floating rates, may bear interest on dual currency or index linked bases or may not bear interest, as may be agreed between the Company and the relevant dealer(s). The Notes will constitute direct, unconditional, unsubordinated and unsecured obligations of the Company and shall at all times rank pari passu and without any preference or priority among themselves, and at least pari passu with all other unsecured and unsubordinated indebtedness of the Company, present and future. The net proceeds from the issue of each tranche of Notes will be applied by the Company for general corporate purposes. If, in respect of any particular issue, there is a particular identified use of proceeds, this will be stated in the applicable pricing supplement (the “Pricing Supplement”). Application has been made to the Singapore Exchange Securities Trading Limited (the "SGX-ST") for permission to deal in and quotation of any Notes which are agreed at the time of issue thereof to be so listed on the SGX-ST. Such permission will be granted when such Notes have been admitted to the Official List of the SGX-ST. Unlisted series of Notes may also be issued pursuant to the Programme. The relevant Pricing Supplement in respect of any series of Notes will specify whether or not such Notes will be listed on the SGX-ST (or any other stock exchange). Admission to the Official List of the SGX-ST and quotation of any Notes on the SGX-ST is not to be taken as an indication of the merits of the Company, its subsidiaries, the Programme or the Notes.
