Notice on JAL filing under the Japanese
Corporate Reorganization Act

We, Japan Airlines Corporation, and our group companies, Japan Airlines International Co., Ltd. and JAL Capital Co., Ltd., would like to inform our shareholders that on January 19, 2010, we filed a petition with the Tokyo District Court to commence in-court restructuring proceedings under the Japanese Corporate Reorganization Act, on which the court immediately rendered a commencement order, appointing the Enterprise Turnaround Initiative Corporation of Japan (ETIC) and Mr. Eiji Katayama as the trustee for the proceedings.

We have been working diligently to restructure our business and improve our profitability despite extraordinary external challenges, including the recent global economic crisis, the surge in fuel costs, and the decline in air traffic demand caused by the H1N1 virus epidemic. However, to fundamentally restructure our company, we formally applied, jointly with the Development Bank of Japan and other main financial institutions, to obtain support from ETIC, in response to which ETIC immediately decided to support us. Having received public support from ETIC, to ensure the transparency and fairness of our restructuring process, and to revitalize our business swiftly, fairly, and with certainty, we decided to implement our restructuring through an in-court restructuring scheme under the Japanese Corporate Reorganization Act.

JAL’s restructuring scheme will be developed and implemented through the Japanese Corporate Reorganization proceedings, and the rights of shareholders are expected to be significantly affected (including the cancellation of all shares). Shareholder treatment will be addressed in JAL’s corporate reorganization plan, which will be developed in the reorganization proceedings. Updates on the progress of the reorganization proceedings and our answers to Frequently Asked Questions will be posted in our website.

We believe that our court-supervised restructuring is the next step in our path forward towards our re-emergence in the marketplace as a strong competitor, all while we continue to provide superior service to our customers and business partners now and for years to come.
